He is an advocate of the High Court of Kenya with extensive experience in Corporate, Finance, Banking, Fintech, Securities transactions, real estate financing, capital markets, setting up, licensing, regulatory and compliance advice, audits and due diligence investigations, insolvency and bankruptcy procedures, and commercial litigation.
Signature experience
Dispute Resolution & Governance
- Successfully defended the County Government of Kisumu against a claim of more than Kenya Shillings 4.4 Billion
- Defended an International Hotel in a suit filed by a Developer.
- Acted for an International investor against a local partner in a suit worth over 2 million dollars.
- Preparing and/or reviewing Safaricom’s Human Resource and Management Policies.
- Advised and undertook a Research Study with respect to the policy gaps in the trade and industrialization sub-sector within Nairobi County and thereafter prepared The Nairobi County Trade Policy Formulation Research Report which will guide the County Government of Nairobi in formulating/drafting its trade policy.
- Advised and undertook a Baseline study to track Kenya’s compliance with commitments made toward the East Africa Community Common Market Protocol Schedules on the Removal of Restrictions on the Free Movement of Capital, Goods and Services for an international development agency.
- Advised and undertook governance, legal and regulatory audits with respect to the custody and trustee businesses of a tier one bank in Kenya
- Conducted a training seminar on Corporate Governance for Financial Services Companies for the staff of a tier one bank in Kenya.
Corporate
- Advised a local bank on its application for a banking license.
- Advised a leading South African bank with respect to the establishment of a local presence in Kenya including setting up commercial and investment banking businesses.
- Advised a leading insurance company on the proposed investment of approximately USD 40 million by the multinational finance institution.
- Advised a listed financial services company on the proposed acquisition by a consortium represented by a private equity fund of an equity stake in the client by way of subscription for newly issued ordinary shares.
- Advised a leading petroleum company with respect to the sale of its assets in Rwanda and Uganda.
Fintech
- Advised a US-based fintech company in relation to setting up in Kenya including the required legal and regulatory licenses, permits and/or approvals.
- Advised and undertook a regulatory audit with respect to the operations of a fintech company and provided a red flag report to enable it comply with a prospective lender’s requirements.
- Undertook due diligence on a fintech company on behalf of a lender to facilitate a financing transaction and thereafter advised on the transaction documents.
- Advised a fintech company with respect to the issuance of a series of commercial papers in Kenya.
Banking and Finance
- Acting for several commercial banks in the preparation and perfection of securities and conveyancing transactions.
- Advised the multinational finance institution in relation to a USD 200 million line of credit to a local bank.
- Advised an international financial institution in relation to the restructuring of its debt with several multilateral lenders and commercial banks.
- Advised and undertook a regulatory audit with respect to the custody and trustee businesses of a tier one bank in Kenya.
